These Terms & Conditions ("Terms") govern your access to and use of the services provided by Kitchen Spurs Private Limited ("Kitchen Spurs", "we", "us", or "our"), including our website, dashboard, software, reports, integrations, and related services. By subscribing to, accessing, or using Kitchen Spurs' services, you agree to be bound by these Terms. If you do not agree with these Terms, you must discontinue use of our services.
These Terms apply to all users of Kitchen Spurs' services, including customers, authorised users, and representatives acting on behalf of a business entity.
Service Fees, Subscription & Payment
Kitchen Spurs provides its services on a subscription basis. Subscription fees, service scope, duration, and commercial terms shall be mutually agreed with each customer and communicated through proposals, quotations, order forms, invoices, or other written agreements.
Subscription fees are payable subject to applicable taxes, including GST, as required under applicable laws.
Upon onboarding, Kitchen Spurs shall issue invoices in accordance with the mutually agreed billing cycle. Invoices may be issued monthly, annually, or as otherwise agreed between the parties.
All invoices must be paid within seven (7) days of issuance unless otherwise agreed in writing. Failure to make timely payment may result in suspension or restriction of services after providing seven (7) days' written notice.
Any reasonable out-of-pocket expenses incurred specifically on behalf of the customer and approved by the customer may be invoiced at actual cost and shall be payable within the agreed payment timelines.
Obligations of Kitchen Spurs
Kitchen Spurs shall provide its services with reasonable skill, care, diligence, and professional standards consistent with industry practices.
Kitchen Spurs shall use commercially reasonable efforts to ensure the availability, performance, and reliability of the platform.
Kitchen Spurs shall appoint an Account Manager who will serve as the primary point of contact for the customer throughout the engagement.
Kitchen Spurs shall maintain the confidentiality of customer information and use such information only for purposes related to providing the agreed services.
Kitchen Spurs reserves the right to improve, modify, enhance, or update its products and services from time to time to enhance functionality, security, and user experience.
Customer Responsibilities
Customers agree to provide accurate, complete, and up-to-date information required for onboarding and service delivery.
Customers shall provide and maintain the necessary access, permissions, credentials, and approvals required for integrations with third-party platforms, including but not limited to Swiggy, Zomato, Google Business, POS systems, and other authorised providers.
Customers are responsible for reviewing reports, dashboards, and recommendations generated through the platform before making business decisions.
Customers shall cooperate with Kitchen Spurs by providing timely instructions, responses, and information reasonably required to provide the services.
Customers remain responsible for payment of all agreed subscription fees irrespective of their business performance, operational outcomes, or recoveries from their own customers.
Customers shall not knowingly provide inaccurate information or withhold information that may materially impact the services being provided.
Use of Services
Customers may use Kitchen Spurs solely for lawful business purposes and in accordance with these Terms.
Customers shall not misuse the platform, attempt unauthorised access, interfere with system functionality, reverse engineer the software, introduce malicious code, or use the services in violation of applicable laws.
Kitchen Spurs reserves the right to suspend access where misuse, fraud, security concerns, or violations of these Terms are identified.
Intellectual Property
All rights, title, and interest in Kitchen Spurs' software, dashboards, reports, methodologies, designs, trademarks, logos, documentation, and related intellectual property shall remain the exclusive property of Kitchen Spurs Private Limited.
Nothing in these Terms grants customers ownership rights over Kitchen Spurs' intellectual property.
Customers retain ownership of their own business data, trademarks, logos, and proprietary information shared with Kitchen Spurs.
Kitchen Spurs acknowledges the customer's ownership rights in their trademarks, logos, brand assets, and other intellectual property and agrees not to misuse or challenge such rights.
Confidentiality
Each party agrees to maintain the confidentiality of all non-public information received from the other party.
Confidential information shall not be disclosed to third parties except where required to perform the services, comply with legal obligations, or with the prior written consent of the disclosing party.
These confidentiality obligations shall survive termination of the relationship.
Limitation of Liability
Kitchen Spurs shall not be liable for indirect, incidental, consequential, special, punitive, or exemplary damages, including loss of profits, business interruption, reputational harm, or loss of anticipated savings.
Kitchen Spurs' liability arising out of or relating to these Terms shall be limited to foreseeable and direct damages resulting from gross negligence or wilful misconduct.
To the maximum extent permitted by law, Kitchen Spurs' aggregate liability under these Terms shall not exceed the subscription fees paid by the customer during the twelve (12) months immediately preceding the event giving rise to the claim.
Kitchen Spurs shall not be liable for decisions made by customers based solely on reports, analytics, recommendations, or data that is inaccurate, incomplete, delayed, or supplied by third-party platforms.
Warranty Disclaimer
Kitchen Spurs warrants that it has the authority, expertise, and resources necessary to provide the services described under these Terms.
Except as expressly stated herein, the services are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied.
Kitchen Spurs does not warrant that the services will be uninterrupted, error-free, or completely free from defects.
Third-party platforms and integrations may affect the availability, accuracy, or completeness of data displayed within Kitchen Spurs, and Kitchen Spurs shall not be responsible for outages, delays, restrictions, or inaccuracies originating from such platforms.
Indemnity
Each party agrees to indemnify, defend, and hold harmless the other party and its directors, officers, employees, and representatives against claims, losses, damages, liabilities, penalties, costs, and reasonable legal expenses arising from:
Any breach of these Terms;
Any gross negligence or wilful misconduct;
Violation of applicable laws or regulations;
Infringement of third-party intellectual property rights;
Unauthorised disclosure of confidential information; or
Any act or omission resulting in losses attributable to the indemnifying party.
Termination
Either party may terminate the subscription for convenience by providing thirty (30) days' written notice to the other party.
Kitchen Spurs may suspend or terminate services immediately where customers materially breach these Terms and fail to remedy such breach within fifteen (15) days of receiving written notice.
Either party may terminate the relationship immediately if the other party becomes insolvent, enters bankruptcy proceedings, appoints a receiver, or is otherwise unable to continue business operations.
Software subscription fees already paid shall remain non-refundable under any circumstances unless otherwise agreed in writing.
Termination shall not affect accrued rights, payment obligations, confidentiality obligations, or provisions intended to survive termination.
Arbitration & Dispute Resolution
The parties agree to first attempt to resolve disputes through good faith discussions and negotiations.
If a dispute remains unresolved within thirty (30) days, the dispute shall be referred to arbitration under the Arbitration and Conciliation Act, 1996.
The arbitration shall be conducted by a sole arbitrator appointed by mutual consent. If the parties are unable to agree upon an arbitrator, the appointment may be made through the Mumbai Centre for International Arbitration (MCIA) or another mutually agreed institution.
The seat and venue of arbitration shall be Mumbai, India.
The proceedings shall be conducted in English.
The arbitral award shall be final and binding upon the parties.
General Provisions
These Terms shall be governed by and interpreted in accordance with the laws of India.
The courts located in Mumbai shall have exclusive jurisdiction over matters arising from these Terms, subject to the arbitration provisions stated above.
Failure by either party to enforce any provision shall not constitute a waiver of its rights.
If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.
No amendment or modification to these Terms shall be effective unless made in writing.
Neither party shall be liable for delays or failures caused by events beyond reasonable control, including acts of God, natural disasters, war, government actions, labour disputes, internet outages, or other force majeure events. If such an event continues for more than thirty (30) days, either party may terminate the relationship upon providing thirty (30) days' written notice.
The relationship between Kitchen Spurs and its customers is that of independent contracting parties. Nothing in these Terms creates a partnership, agency, joint venture, employment relationship, or fiduciary relationship.
Customers may not assign or transfer their rights or obligations under these Terms without Kitchen Spurs' prior written consent.
Early Access Disclaimer
Kitchen Spurs was originally developed as an internal tool and is now being made available to a wider market. While we are committed to delivering a reliable and high-quality experience, users may occasionally encounter bugs, service interruptions, evolving functionality, or performance limitations as we continue to enhance the platform.
As an early adopter, your feedback plays an important role in helping us improve the product and shape future enhancements. We appreciate your trust and partnership during this phase of growth.
